1. Introduction

1.1 These Terms & Conditions (“Terms”) govern your access to and use of the Soulfully Platform and Services.

1.2 Use of the Platform is also subject to the Privacy Policy, which is incorporated by reference. If you do not agree with these Terms, do not use the Platform. By accessing or using the Platform, you agree that these Terms and the Privacy Policy together form a legally binding agreement between you and soulfully.

2. Definitions

2.1 Capitalized terms used but not defined in these Terms have the meanings given in the Privacy Policy.

2.2 Services includes access to Listeners, booking and session features and related Platform functionality.

3. Eligibility, Age & Guardian Responsibility

3.1 Users must be at least 13 years old to create an account.

3.2 Users under 18 may use the Platform only with the active consent and supervision of a parent or legal guardian. The parent/guardian agrees to be bound by these Terms and is responsible for the minor’s conduct.

3.3 Users 18 years or older may independently use all features of the Platform.

4. Account Registration, Security & Passwords

4.1 Users must provide accurate information during registration and keep contact and payment details up to date.

4.2 You are responsible for keeping your account credentials confidential. You must notify us immediately of any unauthorized use.

5. Services Description & Non-Therapeutic Nature

5.1 Soulfully connects Users with trained Listeners to talk about emotional stress, anxiety, or life challenges without judgment for non-clinical supportive conversations. Listeners are not licensed mental health professionals and do not provide medical or therapeutic treatment.

5.2 Soulfully expressly disclaims any role as a healthcare provider. If you require medical or psychiatric help, seek a qualified professional

6.1 Soulfully’s tagline Talk Feel Heal is branding that describes emotional comfort via conversation. Heal is not a representation of medical treatment, therapy or diagnosis.

7. Booking, Payments & Refunds

7.1 Booking and payment flow will be displayed on the Platform.

7.2 Payments are processed via third-party payment processors. Soulfully does not store card credentials.

7.3 Refunds: Refunds are available only in cases where a technical failure on Soulfully’s part prevented a booked service after successful payment. All refund claims must be submitted through support with proof of payment. Soulfully reserves the right to investigate and deny refunds where misuse is suspected.

8. No Recording & Content Use

8.1 No Recording Policy: Users and Listeners are strictly prohibited from recording, retransmitting, storing, screenshotting, transcribing, or otherwise reproducing any part of a session (audio, video, or text) under any circumstances. Any violation is a material breach and may result in immediate suspension, termination, and legal action. 

9. User Conduct & Prohibited Activities

9.1 You must not: impersonate others; harass, threaten or abuse Listeners or other Users; post unlawful, defamatory, obscene, or infringing content; attempt to circumvent Platform security; or use the Platform for any illegal activity.

9.2 Soulfully reserves the right to remove content or suspend/terminate accounts for violations.

10. Listener Relationship & Disclaimers

10.1 Listeners on Soulfully are trained Listeners to provide empathetic and supportive conversations. They are, however, independent service providers and are not employees, representatives, or agents of the Soulfully.

10.2 Soulfully makes reasonable efforts to maintain the quality, safety, and integrity of its Listeners. They are not therapists, counsellors, or medical professionals, and the Platform does not provide medical or therapeutic services.

10.3 The views and statements expressed by Listeners are their own. Sessions should be understood as emotional support and empathetic listening, not medical or professional advice. Soulfully is not responsible for specific outcomes arising from any session.

11. Privacy & Confidentiality

11.1 All data handling is subject to the Privacy Policy. Users acknowledge the confidentiality practices described therein and the limited exceptions for safety and legal compliance.

12. Intellectual Property

12.1 All IP on the Platform (software, content, design, trademarks) is owned by the Soulfully or licensed to it. Users are granted a limited, non-exclusive, non-transferable license to use the Platform for personal purposes. Unauthorized use is prohibited.

13. Disclaimer of Warranties

13.1 To the maximum extent permitted by law, the Platform and Services are provided “as is” and “as available”. Soulfully disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy or non-infringement.

14. Limitation of Liability

14.1 To the maximum extent permitted by law, Soulfully, its officers, employees, agents, contractors, and Listeners will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, data, or goodwill, arising from your use of the Platform or Services.

14.2 Soulfully’s maximum liability for any direct damages arising out of or in connection with these Terms shall not exceed the amount paid by you for your last session on the Platform. This limitation applies even if any remedies fail of their essential purpose.

15. Indemnity

15.1 You agree to indemnify, defend, and hold harmless Soulfully, its officers, directors, employees, agents, and Listeners from and against any claims, liabilities, losses, damages, costs, or expenses (including reasonable legal fees) arising out of or relating to:

(a) your breach of these Terms;
(b) your violation of any applicable law;
(c) your negligence, willful misconduct, or misuse of the Platform; or
(d) claims arising from your use of the Platform or your interactions with Listeners.

16. Force Majeure

16.1 Soulfully will not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, pandemics, governmental actions, communications failures, power outages, strikes, or cyberattacks.

17. Reviews and Feedback

17.1 Reviews and Feedback User reviews, testimonials, and ratings may be used in marketing materials and digital promotions. soulfully is not liable for content posted in reviews and feedback by users but reserves the right to moderate such content if necessary

18. Suspension, Termination & Account Closure

18.1 Soulfully may suspend, restrict or terminate access for violations or legal reasons, or if required by law.

18.2 Termination by Soulfully does not waive rights to pursue legal remedies.

18.3 Upon account deletion, certain data may be retained as described in the Privacy Policy

19. Changes to Terms

19.1 We may modify these Terms from time to time. Material changes will be notified via the Platform and emailed to registered users. Continued use after changes indicates acceptance. We will post the effective date on the Platform.

20. Dispute Resolution; Arbitration; Governing Law; Jurisdiction

20.1 Good faith negotiation: parties shall attempt amicable settlement within 30 days of written notice.

20.2 Arbitration: unresolved disputes will be submitted to final and binding arbitration in Chennai under the Arbitration and Conciliation Act, 1996. The seat of arbitration is Chennai; language: English. The tribunal will consist of a sole arbitrator mutually agreed or appointed by a recognized arbitration institution if parties cannot agree.

20.3 Court jurisdiction: Subject to arbitration, the courts in Chennai shall have exclusive jurisdiction for actions that fall outside arbitration scope or to enforce arbitral awards as permitted by law.

20.4 Injunctive relief: nothing in this clause prevents Soulfully from seeking interim or injunctive relief from courts where necessary.

21. Miscellaneous

21.1 Severability: if any provision is held invalid, the remaining provisions remain in force.

21.2 Waiver: failure to enforce a provision is not a waiver.

21.3 Assignment: Soulfully may assign rights; Users may not assign without prior written consent.

21.4 Entire Agreement: these Terms together with the Privacy Policy represent the entire agreement between you and Soulfully regarding the Platform.
